1. Acceptance of Terms

These Terms of Service ("Terms") constitute a binding legal contract between you ("User," "Seller," or "Customer") and Stupers International Inc. ("Stupers International," "Company," "we," or "our"), governing your access to and use of the eSellerOps software-as-a-service (SaaS) platform, website (esellerops.com), browser extensions, and associated Selling Partner API integrations.

By creating an account, authenticating via Login with Amazon (LWA) OAuth, or utilizing any portion of the eSellerOps platform, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you are entering into this agreement on behalf of a corporation, partnership, or Amazon FBA storefront entity, you represent and warrant that you possess the explicit legal authority to bind such entity to these Terms.

2. Service Description

eSellerOps is an enterprise-grade FBA operating system and reverse sourcing analytics suite designed for professional US Amazon marketplace sellers. Our tools provide:

• Real-Time Product Analysis: Automated calculation of FBA landed costs, referral fees, variable closing fees, and net profit margins using live Keepa market pricing and historical sales rank (BSR) trajectory.
• BUY / REVIEW / SKIP Verdicts: Deterministic financial modeling comparing current Buy Box dynamics against user-defined ROI, net profit per unit, and monthly velocity thresholds.
• Catalog & Reverse Sourcing Workflow: Parent-child variation matrix parsing, brand IP risk registry checks, 1-click wholesale buy list exports, and multi-tenant team workspaces.

3. User Account Compliance & Operational Warranties

eSellerOps provides reverse sourcing tools and profitability calculators for professional marketplace sellers. By creating an account and utilizing our platform, you warrant and agree to the following:

• Authorized Sourcing: You warrant that you conduct your e-commerce sourcing and retail arbitrage operations in compliance with applicable marketplace rules, brand policies, and intellectual property laws.
• Compliance with Marketplace Terms: Your use of eSellerOps must fully comply with all applicable Amazon Services Business Solutions Agreements and Seller Central Acceptable Use Policies.
• No Automated Abuse: You will not attempt to reverse engineer, scrape, flood, rate-limit abuse, or circumvent our application endpoints or data feeds through unauthorized automated interactions on our platform.

4. Subscription Terms & Stripe Billing

Access to advanced eSellerOps features, higher monthly analysis limits, and multi-tenant workspaces requires an active paid subscription:

• Billing Cycle & Renewal: Subscriptions are billed in advance on a monthly or annual basis via Stripe, our PCI-DSS compliant merchant payment processor. Subscriptions automatically renew at the end of each billing term unless cancelled prior to the renewal date.
• Payment Methods: You agree to maintain a valid credit card or authorized payment instrument on file. If a payment attempt fails, we reserve the right to suspend or downgrade account access after a 5-day grace period.
• Cancellation & Refunds: You may cancel your subscription at any time within your account billing dashboard. Cancellation stops future recurring charges. Fees paid for current active billing cycles are non-refundable except where mandated by applicable consumer protection laws.

5. Intellectual Property & Software License

All software architecture, algorithms, user interface layouts, proprietary profit modeling formulas, trademarks ("eSellerOps"), and source code remain the sole and exclusive intellectual property of Stupers International Inc.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use eSellerOps for your internal business operations. You may not copy, modify, distribute, sell, or sub-license any portion of our software or proprietary methodologies.

6. Disclaimer of Warranties

While we strive for absolute accuracy by integrating live Keepa market data and precise fee calculation formulas, product pricing, Buy Box dynamics, estimated sales velocity, and marketplace fees on Amazon can fluctuate rapidly and unpredictably. eSellerOps disclaims any liability for financial losses, dead stock, supplier disputes, or account health suspensions incurred as a result of sourcing or pricing decisions made based on our verdicts or profit calculators.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Stupers International Inc., its directors, officers, employees, joint venture partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, inventory losses, business interruption, Amazon Seller Central suspensions, or data loss arising out of or related to your use or inability to use eSellerOps.

Our total cumulative liability to you for any and all claims arising out of or relating to this agreement or our services shall not exceed the total subscription fees actually paid by you to Stupers International Inc. during the three (3) month period immediately preceding the event giving rise to the claim.

8. Governing Law & Dispute Resolution

These Terms and all disputes or claims arising out of or related to eSellerOps shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the state or federal courts located in Kent County, Delaware. Each party irrevocably submits to the exclusive personal jurisdiction and venue of such courts and waives any objection based on inconvenient forum (`forum non conveniens`).
